These Terms of Use ("Terms") form a binding agreement between you and RentSimple Software Inc. ("RentSimple," "we," "us," or "our"). They govern your interactions with the AI-powered communication services that RentSimple makes available on behalf of property managers, property owners, and their affiliates ("Property Managers"), through any channel — including text message (SMS), email, web chat, voice or telephone calls, mobile applications, and the RentSimple website at www.rentsimple.ai (together, the "Services").
If you do not agree to these Terms, do not use the Services. If you have any questions, you may contact the relevant Property Manager directly through alternative channels they offer (such as their leasing office, in-person, or by mail).
These Terms incorporate by reference the RentSimple Privacy Policy at www.rentsimple.ai/privacy, which describes how we collect, use, and disclose information about you.
By using the Services in any way — including by sending or receiving a text message, email, web-chat message, or voice call to or from the Services, or by clicking or responding to a prompt presented through the Services — you accept and agree to be bound by these Terms.

If you do not consent to any of the foregoing, do not communicate with the Services. Reply STOP to any text message or email UNSUBSCRIBE to opt out of further communications.
RentSimple is a software company that provides communication automation tools to Property Managers. We are not a Property Manager, landlord, real-estate broker, real-estate agent, leasing agent, lender, mortgage broker, lawyer, or financial advisor. We do not own, manage, lease, or operate any real property.
The Services facilitate communications between you and a Property Manager. When you interact with the Services, you are interacting with an automated tool that the Property Manager has chosen to deploy. The Property Manager — not RentSimple — is responsible for any underlying offer, agreement, decision, advertisement, listing, or representation made through the Services about a property, unit, lease, fee, application, screening, or other tenancy-related matter.
The Services are not, and you must not rely on them as:
In an emergency (medical, fire, criminal, safety, or otherwise), call your local emergency services (in Canada, 911) or contact the Property Manager's published emergency contact directly. Do not rely on the Services for emergency response.
You must be at least sixteen (16) years old, or the age of majority in your jurisdiction (whichever is older), to use the Services. By using the Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.
You may need to register an account, provide a phone number or email address, or otherwise authenticate to use certain features. You are responsible for maintaining the security of any credentials you receive and for all activity that occurs through them. Notify us immediately at security@rentsimple.ai if you believe your credentials have been compromised.
By providing your phone number, email address, or other contact information to the Services (including by sending an inbound message or call), you consent to receive communications from RentSimple and the relevant Property Manager through the Services, including:
Standard message and data rates from your carrier may apply. Message frequency varies. You may opt out at any time as described below.
You expressly consent to RentSimple recording, transcribing, storing, analyzing, and processing all of your communications with the Services — including the content of text messages, emails, web-chat sessions, telephone calls (including voice recordings and transcripts), and any attachments, photographs, video, or audio you submit — for the purposes described in the Privacy Policy. Where required by applicable law, the AI agent will identify itself as automated and disclose the recording.
After you opt out, you may continue to receive limited transactional or legally required messages (for example, to confirm your opt-out, to respond to a direct request you initiate, or where required by law). To opt out of communications from a specific Property Manager, you may also need to contact that Property Manager directly.
You agree that you will not, and will not assist or encourage anyone else to:
We reserve the right to suspend or terminate your access to the Services, refuse to process communications, and report violations to law enforcement, the Property Manager, or other appropriate parties, in our sole discretion.
The Services are not designed to collect or process highly sensitive personal information. You agree not to submit through the Services any of the following unless the Property Manager or RentSimple has expressly directed you to do so through a designated, secure intake mechanism:
If you submit any of the above through a non-designated channel (for example, by texting a photo of your driver's license to the AI agent), RentSimple has no obligation to retain or use that information, and you assume full responsibility for any consequences of such submission.
When you submit any communication, message, document, image, video, audio, or other content through the Services ("User Content"), you represent and warrant that:
You grant RentSimple and the relevant Property Manager a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, process, transmit, display, transcribe, analyze, and otherwise use the User Content for the purposes of (i) operating, providing, and improving the Services, (ii) facilitating the Property Manager's tenancy, leasing, marketing, and operations, and (iii) complying with applicable law. RentSimple may also use de-identified and aggregated forms of User Content to train and improve its AI models, as further described in the Privacy Policy.
You are solely responsible for your User Content. RentSimple does not endorse and is not responsible for any User Content.
You acknowledge and agree that:
Your privacy is important to us. The collection, use, disclosure, retention, and protection of personal information through the Services is governed by the RentSimple Privacy Policy at www.rentsimple.ai/privacy, which is incorporated by reference into these Terms. By using the Services, you acknowledge and agree that you have read and understood the Privacy Policy.
The Services, the underlying software, AI models, designs, text, graphics, user interfaces, trademarks, and all related intellectual property are owned by RentSimple or its licensors and are protected by Canadian, US, and international intellectual property laws. Except for the limited rights expressly granted to you under these Terms, no rights of any kind are granted to you in or to any of the foregoing.
You may not copy, modify, distribute, sell, lease, lend, sublicense, or create derivative works from any part of the Services, except as expressly permitted in writing by RentSimple.
The Services may interoperate with third-party services (such as carriers, hosting providers, calendar systems, or property-management systems). RentSimple does not control, and is not responsible for, the availability, performance, or content of any third-party service.
Decisions and statements by Property Managers. Any decision regarding your application, tenancy, lease terms, fees, charges, screening, deposit, eviction, maintenance, or other matter relating to a property is made by the Property Manager, not by RentSimple. Disputes about such decisions or statements must be raised with the Property Manager directly. RentSimple is not a party to your relationship with the Property Manager and has no authority to override, vary, or interpret any decision of the Property Manager.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
The Services are provided "as is" and "as available," without representation, warranty, or condition of any kind, whether express, implied, statutory, collateral, or otherwise, including any implied warranties or conditions of merchantability, fitness for a particular purpose, durability, title, accuracy, completeness, security, quiet enjoyment, system integration, or non-infringement.
Without limiting the foregoing, RentSimple does not represent or warrant that:
Some jurisdictions do not allow the exclusion of certain warranties or conditions, so some of the above exclusions may not apply to you. In jurisdictions where exclusions are not permitted, our warranties and conditions are limited to the minimum extent permitted by law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
In no event will RentSimple, its affiliates, or its and their respective directors, officers, employees, agents, or licensors be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, use, or opportunity, arising out of or relating to these Terms or the Services, whether based on contract, tort (including negligence), strict liability, statute, or any other legal theory, and even if RentSimple has been advised of the possibility of such damages.
Our total cumulative liability to you for all claims arising out of or relating to these Terms or the Services, regardless of the form of action, will not exceed one hundred Canadian dollars (CAD $100.00).
Without limiting the foregoing, you acknowledge and agree that no system is perfectly secure and that RentSimple does not warrant or guarantee the security of any communication or data transmitted through or stored in connection with the Services. To the maximum extent permitted by applicable law, RentSimple is not liable to you for any damages arising out of or relating to any unauthorized access to, theft, loss, alteration, or disclosure of your communications or data through the Services, except to the extent such damages are caused by RentSimple's gross negligence or willful misconduct.
The limitations and exclusions in this Section 13 apply notwithstanding any failure of essential purpose of any limited remedy and form an essential basis of the bargain between you and RentSimple. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you. In jurisdictions where exclusions or limitations are not permitted, our liability is limited to the minimum extent permitted by law.
You agree to indemnify, defend, and hold harmless RentSimple, its affiliates, and its and their respective directors, officers, employees, and agents from and against any and all third-party claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
We may, at our option, assume control of the defence and settlement of any claim subject to this indemnification, in which case you agree to cooperate reasonably with our defence at our expense.
We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, for any reason, including if we believe you have violated these Terms, your use of the Services creates risk or possible legal exposure for us, the relevant Property Manager has terminated its relationship with you or with RentSimple, or RentSimple ceases to provide the Services.
You may stop using the Services at any time. Sections that by their nature should survive termination (including Sections 6, 7, 8, 9, 10, 12, 13, 14, 16, 17, and 18) will survive.
These Terms and any dispute arising out of or relating to them or the Services are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before filing any formal proceeding, you agree to first contact us at legal@rentsimple.ai to attempt in good faith to resolve the dispute informally for at least thirty (30) days.
If the dispute is not resolved informally, the courts of British Columbia, sitting in Vancouver, will have exclusive jurisdiction over any dispute, and you irrevocably submit to the personal jurisdiction of those courts. Notwithstanding the foregoing, you may bring qualifying claims in small-claims court in your local jurisdiction where permitted by law.
To the maximum extent permitted by applicable law, you and RentSimple agree to bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. This Section 16.4 does not apply where prohibited by applicable consumer-protection law (for example, in the Province of Quebec, where class actions cannot be waived in a consumer contract).
If you are a consumer resident in Quebec, nothing in these Terms is intended to limit any right or remedy you have under the Quebec Consumer Protection Act or other applicable mandatory consumer-protection law, and any provision of these Terms that conflicts with such law is, as to you, modified to the minimum extent necessary to comply.
We may update these Terms from time to time. When we make material changes, we will provide reasonable notice (for example, by posting the updated Terms on the website with a new "Last Updated" date, by sending notice through the Services, or by other reasonable means). Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of those Terms. If you do not agree, you must stop using the Services.
Entire Agreement. These Terms, together with the Privacy Policy and any additional terms expressly referenced in them, constitute the entire agreement between you and RentSimple regarding the Services and supersede any prior or contemporaneous understandings.
No Waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable, or severed if no such modification is possible.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights, except that the Property Managers and our affiliates are intended third-party beneficiaries of Sections 4, 5, 6, 7, 12, 13, and 14 to the extent applicable.
Force Majeure. We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, labour disputes, internet or telecommunications failures, cyberattacks, pandemics, or third-party service outages.
Independent Contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and RentSimple.
Notices. We may give you notices through the Services, by SMS, by email, or by posting on the website. You may give us notices at legal@rentsimple.ai.
